Bitzero's $25M Raise Consumed by Debt, Warrants Risk 21.6% Dilution

The Placement and Immediate Payoff
Bitzero raised approximately $25 million by selling 5,828,342 special warrants at $4.25 each. Within days, the company committed $22.375 million to repay secured-loan principal on or about August 6. The principal alone would consume 89.5% of the headline proceeds, leaving the company with minimal cash buffer. A July 31 prepayment notice triggered a five-business-day countdown. As of August 4, the payment had yet to clear, and collateral remained under lien.
Bitzero has not yet disclosed final net proceeds after fees or the full payoff amount including accrued interest and other sums due at payment date.
Warrant Mechanics and Dilution
Each special warrant will be automatically exercised at no extra cost into one common share and one common-share purchase warrant. Automatic exercise would add 5,828,342 common shares and issue the same number of purchase warrants. Each resulting warrant would be immediately exercisable for one more share at $5 during a five-year term.
Against 54,035,007 shares observed on the Canadian Securities Exchange issuer page on August 4, the automatic first stage equals 10.8% dilution. Full exercise of every resulting $5 warrant would lift the placement's total new shares to 11,656,684, which would equal 21.6% of the observed share count.
The structure leaves existing shareholders exposed to significant dilution over the warrant's five-year exercise window.
