Bithumb Targets 2028 IPO After Regulatory Turmoil in South Korea
In brief
- Bithumb outlines three-stage IPO roadmap targeting 2028 public listing.
- Exchange switches to international K-IFRS accounting standard in 2026.
- Preliminary listing review filing scheduled for 2027.
- Regulatory fines, police searches, and leadership scandal complicate path.
IPO Roadmap and Accounting Shift
Bithumb set out a three-stage path to a stock market listing in 2028. The first stage, underway now, involves upgrading internal controls and preparing to switch accounting standards. The exchange is moving from Korean accounting standard K-GAAP to the global K-IFRS standard, a shift that signals preparation for international capital markets scrutiny.
The second stage follows in 2027, when Bithumb will file for preliminary listing review. The exchange has already engaged domestic and overseas underwriters, law firms and accountants to support the process. Bithumb has also split off Bithumb Asset to separate its business lines, a restructuring often seen as preparation for public listing.
Regulatory and Legal Challenges
The IPO ambitions arrive amid significant operational turbulence. In February, a display error credited thousands of Bithumb users with Bitcoin they did not own, a system failure that eroded user confidence. More severe, in March, financial regulators fined the exchange $24.5 million and ordered a six-month partial suspension over anti-money-laundering and know-your-customer failures.
Bithumb contested the suspension order. A court blocked the regulatory suspension order in April after Bithumb challenged it, a legal win that kept operations intact. Yet the troubles continued. Police searched Bithumb's headquarters in February and June as part of a broader investigation. Chief executive Lee Jae-won was booked as a bribery suspect over the alleged hiring of a National Assembly member's son, adding executive-level reputational risk.
Market Position
Bithumb competes with Dunamu-operated Upbit for South Korea's domestic market. A successful IPO would mark a significant milestone for the crypto industry in South Korea, where regulatory oversight has intensified. Whether Bithumb can resolve its governance and compliance issues before 2027 will likely shape both its listing prospects and investor appetite for a crypto exchange public debut.
